The client was a leading European investment holding company operating across 18 countries, with a diverse portfolio spanning technology, manufacturing and professional services businesses. Phase 1 Commercial Software Due Diligence

Working alongside the client’s Corporate Development, M&A, Procurement, Legal, IT and Architecture teams, bedigital assessed the target organisation’s software estate before completion.

We reviewed software inventories, licensing models, contracts and vendor obligations to identify commercial, contractual and compliance risks. We also assessed Software Asset Management maturity, reviewed change-of-control clauses and identified opportunities to optimise software licensing. Executive reporting provided the investment committee with the information needed to make informed commercial decisions before the acquisition completed.

Phase 2 Day One Readiness and Integration

Following completion, bedigital supported the client in taking control of the acquired software estate while maintaining business continuity.

We validated business-critical software, consolidated software inventories, reviewed licence transfer rights and supported licence migrations where ownership changed.
